Terms of Service


Effective Date: October 18, 2024

These Terms of Service (“Terms”) govern access to and use of the Authorized Carrier Contract Board platform (the “Platform”), operated by Authorized Carrier LLC (“Company,” “we,” “us,” or “our”). The Platform is intended for use by freight brokers, motor carriers, logistics providers, and related transportation professionals (“Users”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy.


1. Platform Purpose and Scope

The Platform provides a digital venue for Users to post, view, and respond to freight lanes, carrier opportunities, and contract-related information. The Company provides technology only and does not participate in, control, or guarantee any transaction, relationship, or outcome between Users.


2. Eligibility and Account Responsibilities

You represent and warrant that you:

  • Are at least 18 years of age
  • Are authorized to act on behalf of the business entity you represent
  • Will use the Platform solely for lawful, professional, and commercial purposes

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.


3. User Submissions and Conduct

Users are solely responsible for all information submitted to the Platform, including contract listings, applications, credentials, representations, and communications.

You agree that you will not:

  • Submit false, misleading, or unlawful information
  • Misrepresent operating authority, insurance, safety status, or qualifications
  • Use the Platform for fraudulent, abusive, or unauthorized purposes
  • Attempt to interfere with Platform operations or security

The Company reserves the right to remove content or suspend accounts at its discretion.


4. No Verification, No Endorsement, No Agency

The Company does not:

  • Verify or audit User-submitted information
  • Endorse, recommend, or certify any broker, carrier, employer, or listing
  • Act as a broker, carrier, shipper, employer, agent, or intermediary

All Users are solely responsible for conducting their own due diligence, including verification of FMCSA authority, insurance coverage, safety ratings, contractual suitability, and regulatory compliance prior to engagement.


5. Broker–Carrier and User Relationships

Any contract, engagement, employment relationship, or business arrangement formed through the Platform is strictly between the participating Users. The Company is not a party to such relationships and bears no responsibility for disputes, performance, payment, compliance, or damages arising therefrom.


6. Regulatory and Compliance Disclaimer

The Platform does not provide legal, regulatory, or compliance advice. Use of the Platform does not ensure compliance with FMCSA regulations, transportation laws, labor laws, or industry requirements. Users are solely responsible for compliance with all applicable laws and regulations.


7. Intellectual Property

The Platform, including all content, software, design, and trademarks, is owned by or licensed to the Company and protected by applicable intellectual property laws. Users are granted a limited, non-exclusive, revocable license to use the Platform solely for its intended purpose.


8. Platform Availability

The Platform is provided on an “as is” and “as available” basis. The Company does not guarantee uninterrupted access, error-free operation, or that the Platform will meet User expectations or business needs.


9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business, loss of data, or disputes between Users, even if advised of the possibility of such damages.

In no event shall the Company’s total liability exceed the amount paid by the User to the Company, if any, during the twelve (12) months preceding the claim.


10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of:

  • Your use of the Platform
  • Your submissions or representations
  • Your violation of these Terms or applicable law
  • Any dispute or agreement between you and another User

11. Termination

The Company may suspend or terminate access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Termination does not relieve Users of obligations incurred prior to termination.


12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts , without regard to conflict of law principles. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located within Massachusetts.


13. Modifications to Terms

The Company reserves the right to modify these Terms at any time. Changes become effective upon posting. Continued use of the Platform constitutes acceptance of the revised Terms.
